Terms of Service - SlateSpend

1) Who we are

SlateSpend ("SlateSpend", "we", "us", "our") is the provider of the SlateSpend service (the "Service").

2) Eligibility and acceptance

• You are old enough to form a legally binding contract where you live.
• You are using SlateSpend as a personal budgeting tool (not a consumer banking product).

If you do not agree to these Terms, do not use the Service.

3) Your account and security

• Keep your login credentials confidential.
• You are responsible for all activity under your account.
• Notify us promptly if you suspect unauthorized access.

We may suspend access if we reasonably believe an account is compromised or misused.

4) Your data and responsibility

SlateSpend stores budgeting data you provide (accounts, categories, transactions, goals, and shared settings). You are responsible for ensuring you have the right to store and process that data and for the accuracy of what you enter or import.

SlateSpend provides software and calculations based on your inputs. It does not verify or audit your data.

5) Your license to use the Service

We grant you a limited, non-exclusive, non-transferable right to access and use SlateSpend for your personal budgeting purposes during your subscription term (including any free plan use), subject to these Terms.

6) Your ownership and our license

You retain ownership of the data you enter.

You grant SlateSpend permission to host, process, transmit, and display your data solely to provide, maintain, and improve the Service and keep it safe and reliable.

7) Plans, limits, and fair use

SlateSpend may offer multiple plans (including free and paid tiers). Plans may include usage limits, feature restrictions, and fair-use controls to prevent abuse.

We may change plans, features, or limits over time. If changes materially affect paying users, we will make reasonable efforts to notify you in advance.

8) Payments, renewals, cancellation, refunds

Subscriptions renew automatically unless you cancel before the renewal date. Billing is handled by Paddle, a third-party payment processor and merchant of record. Taxes may be added where required.

If you cancel, your subscription typically remains active until the end of the current billing period (unless stated otherwise at checkout).

Refunds and proration (if any) are described in the Refund Policy.

9) Communications

We may send service emails such as account verification, security notices, and alerts you enable.

If you opt in, we may send product updates or newsletters. You can unsubscribe from marketing emails using the link provided or by contacting support.

10) Acceptable use

• Do not misuse or interfere with the Service.
• Do not attempt to bypass security or access other users' data.
• Do not reverse engineer, scrape, or probe the app (except as allowed by law).
• Do not upload malware or harmful code.
• Do not use the Service for unlawful activity.

11) Third-party services

We rely on third-party providers for hosting, email delivery, and payment processing. Your use of SlateSpend may be subject to those providers' technical constraints and service availability.

We are not responsible for outages or failures caused by third-party services outside our reasonable control, though we will take reasonable steps to restore service.

12) Service availability and changes

The Service is provided on an "as is" and "as available" basis. We aim for reliable uptime, but occasional downtime may occur due to maintenance, updates, or unexpected incidents.

We may update, change, or discontinue features over time. If we discontinue a paid feature, we will make reasonable efforts to communicate changes and provide alternatives where practical.

13) Termination

You may stop using SlateSpend at any time.

We may suspend or terminate your access if you materially breach these Terms, misuse the Service, or create legal or security risk. Where reasonable, we will attempt to provide notice and an opportunity to remedy, but we may act immediately in urgent cases.

14) No financial, tax, or legal advice

Any numbers, summaries, and dashboards in SlateSpend are based on your inputs and simple calculations. They are not audited and do not constitute financial, tax, or legal advice. For decisions with legal or tax implications, consult a qualified professional.

15) Disclaimers

To the maximum extent permitted by law, we do not warrant that SlateSpend will be uninterrupted, error-free, or meet every requirement you may have. We do not guarantee that using SlateSpend will ensure compliance with legal, tax, or accounting obligations.

16) Limitation of liability

To the fullest extent permitted by law, SlateSpend will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, business, goodwill, or data, arising from your use of (or inability to use) the Service.

Where liability cannot be fully excluded, it will be limited to the amount you paid to SlateSpend for the Service in the preceding 3 months (or a reasonable nominal amount if you are on a free plan), unless applicable law requires otherwise.

17) Indemnity

You agree to defend, indemnify, and hold harmless SlateSpend from claims, liabilities, damages, and expenses arising out of your data, misuse of the Service, violation of these Terms, or violation of law or third-party rights.

18) Feedback

If you send feedback or suggestions, you grant us permission to use them to improve SlateSpend without obligation or compensation.

19) Changes to these Terms

We may update these Terms as the product evolves. When changes are material, we will update the date at the top and may provide notice within the app. Continued use after changes means you accept the updated Terms.

20) Governing law and disputes

These Terms are governed by the laws applicable to SlateSpend's operations, without regard to conflict-of-law principles. Disputes will be handled in the courts located in the applicable jurisdiction, unless applicable law requires otherwise.
